At the meeting of the Executive on 21 July 2015, approval was given to the principles of the new Agreement, Memorandum and Articles of Association for Stockport Homes. Authority for the conclusion of the Agreement, Memorandum and Articles of Association, based on the principles endorsed by the Executive, was delegated to the Corporate Directors for Corporate and Support Services and for Place Management & Regeneration in consultation with the Executive Councillor (Thriving Economy).
Authority was similarly delegated to determine the remuneration for members of the Board, subject to the receipt of recommendations of the Council’s Independent Remuneration Panel.
The Independent Remuneration Panel submitted its final report to the Council on 21 September 2015 detailing its recommendations in relation to Board Member Remuneration, but which also included ancillary recommendations relating to the indexation of any such remuneration and the eligibility of any elected member to receive remuneration for their service as a Board Member. The effect of these recommendations were to:-
(i) delete that part of paragraph 9(4)(a) of the Articles of Association which states “…as a proportion of the Basic Allowance payable to an elected member of the Council Member”.
(ii) delete the entirety of paragraph 9(4)(b) of the Articles of Association which states “No sum shall be paid to a Board Member who is an elected member of the Council Member.”
The Corporate Directors for Corporate and Support Services and for Place Management & Regeneration in consultation with the Executive Councillor (Thriving Economy) have subsequently given final approval to the Agreement, Memorandum and Articles of Association for Stockport Homes which incorporates the amendments recommended by the Independent Remuneration Panel.
The Executive considered a report outlining the key issues associated with the revision of the Management Agreement between Stockport Homes and Stockport Council and agreed that:-
· the proposals for the principles of the new agreement, Memorandum and Articles of Association be approved;
· the customer consultation and opinions be noted;
· the conclusion of the agreement, memorandum and Articles of Association, based on the principles outlined within the report, be delegated to the Corporate Director for Place Management and Regeneration and Corporate Director for Corporate and Support Services, in consultation with the Executive Councillor (Thriving Economy);
· the level of Board member pay be delegated to the Corporate Director for Place Management and Regeneration and the Corporate Director for Corporate and Support Services, in consultation with the Executive Councillor (Thriving Economy) and upon receipt of recommendations from the Council’s Independent Remuneration Panel.
· Section 27 consent be sought from the Secretary of State.
